Terms of Service Last Updated: 9/02/2025 1. Introduction Welcome to WorkerMinds (“WorkerMinds”, “we”, “us”, or “our”). WorkerMinds is an AI-driven recruitment platform based in Belgium that provides bias-free hiring and matching services for job applicants, recruiters, and their employees. These Terms of Service (“Terms”) govern your access to and use of our website and platform (collectively, the “Services”). By using our Services—whether as an applicant, recruiter, or an employee added by a recruiter—you agree to these Terms as well as our Privacy Policy. If you do not agree to these Terms, you must not use our Services. 2. Eligibility and Account Registration Eligibility: You must be at least 18 years old or have reached the age of majority in your jurisdiction to create an account or use our Services. By registering, you represent and warrant that you meet these eligibility requirements. Account Registration: Applicants: When you create an account or apply for an interview, you agree to provide accurate, complete, and current information and to update your information as necessary. Recruiters: Recruiters must register using accurate information and are responsible for all activities conducted under their account. When recruiters add employees for extra logins, the additional users (“Employees”) must also provide accurate information. Consent: By clicking “I agree” during registration or when applying for an interview, you consent to our collection and processing of your Personal Data in accordance with our Privacy Policy. Account Security: You are responsible for maintaining the confidentiality of your login credentials (email and password) and for any activities that occur under your account. WorkerMinds is not liable for any loss or damage resulting from your failure to protect your account. 3. Description of Services Applicants: Applicants are provided with a link to an AI-driven interview where they answer questions and upload their CV. The information collected (including CVs, interview responses, name, and email) is stored and processed by WorkerMinds. By participating, applicants acknowledge that their CVs—which may contain extensive personal information—are used to facilitate a fair, bias-free recruitment process. Recruiters: Recruiters use our Services to post job opportunities and view applicant data submitted in response to their job postings. Only the recruiter who posts the job will have access to the applicant data for that particular posting. Recruiters may also add Employees to their account for additional access. Employee access is subject to role-based controls and is governed by these Terms. General Service Features: Our Services incorporate AI algorithms designed to eliminate bias in the recruitment process. A manual review process is available as part of our Applicant Tracking System (ATS) for applicants who wish to request further review of their AI-generated outcomes. 4. User Conduct and Obligations Acceptable Use: You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit the use and enjoyment of the Services by any third party. Prohibited activities include, but are not limited to: Uploading or transmitting malicious or harmful content. Engaging in fraudulent or deceptive practices. Interfering with or disrupting the operation of the Services. Accuracy of Information: You agree to provide true, accurate, and complete information during account registration and while using the Services. WorkerMinds reserves the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or fraudulent. Compliance with Laws: You must comply with all applicable local, national, and international laws and regulations while using our Services. 5. Intellectual Property Rights Ownership: All content, design elements, logos, text, graphics, and software provided on or through the Services are the property of WorkerMinds or its licensors and are protected by copyright, trademark, and other intellectual property laws. License to Use: WorkerMinds grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes, subject to these Terms. User-Generated Content: By submitting content (such as CVs, interview responses, and other materials) to the Services, you retain ownership of your data. However, you grant WorkerMinds a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and improving the Services. 6. Data Ownership, Processing, and Sharing Applicant Data: All data submitted by applicants (including CVs and interview responses) is stored and processed by WorkerMinds. Recruiters who post jobs have exclusive access to applicant data associated with their job postings, while WorkerMinds retains full access for operational and improvement purposes. Recruiter and Employee Data: Recruiters’ data, including names, email addresses, login history, and tracking data, is stored in MongoDB. When recruiters add Employees, the Employees’ data is similarly stored and subject to role-based access controls. Third-Party Sharing: WorkerMinds may share data with trusted third-party service providers (e.g., for cloud hosting or analytics) under strict confidentiality agreements. Any data transfers outside the EU (if applicable) will be subject to appropriate safeguards, such as Standard Contractual Clauses. 7. Disclaimer of Warranties Service “As Is”: The Services are provided on an “as is” and “as available” basis without any warranty of any kind, express or implied. WorkerMinds disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-Driven Processes: While our AI is designed to eliminate bias and ensure fair recruitment practices, WorkerMinds does not guarantee that the AI will be error-free or that it will always achieve perfect results. The option for a manual review is provided to address any concerns. 8. Limitation of Liability Exclusion of Damages: In no event shall WorkerMinds, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including, but not limited to, loss of profits or revenue) arising out of or in connection with your use of the Services, even if advised of the possibility of such damages. Liability Cap: To the maximum extent permitted by law, WorkerMinds’ total liability for any claims arising from your use of the Services shall not exceed the amounts paid by you, if any, for access to the Services during the twelve (12) months preceding the claim. 9. Indemnification You agree to indemnify, defend, and hold harmless WorkerMinds and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party. 10. Modifications and Termination Modifications to Terms: WorkerMinds reserves the right to modify these Terms at any time. Significant changes will be posted on our website (typically via a link in the footer), and your continued use of the Services after such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically. Termination: WorkerMinds may suspend or terminate your access to the Services, without prior notice, if you violate these Terms or if WorkerMinds deems it necessary to protect its rights or the rights of its users. Upon termination, you remain liable for any obligations incurred prior to termination. 11. Dispute Resolution and Governing Law Governing Law: These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict-of-law provisions. Dispute Resolution: Any disputes arising out of or relating to these Terms or your use of the Services shall be resolved exclusively in the courts located in Belgium. By using the Services, you consent to the jurisdiction and venue of such courts. 12. Miscellaneous Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and WorkerMinds regarding your use of the Services and supersede all prior agreements and understandings. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Assignment: WorkerMinds may assign these Terms or any of its rights or obligations under these Terms without your consent. You may not assign or transfer these Terms or any rights or obligations hereunder without WorkerMinds’ prior written consent. Waiver: The failure of WorkerMinds to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 13.
